Your new role

As a Corporate Governance Paralegal, you’ll play a critical role in supporting the legal and compliance functions of the bank. Your responsibilities will include:
  • Working alongside and reporting to the Chief Compliance Officer
  • Managing corporate governance documentation for Canadian and international entities
  • Supporting the maintenance of minute books, board resolutions, and shareholder records
  • Coordinating filings for entity formation, amendments, dissolutions, and name changes
  • Assisting with director and officer changes, powers of attorney, and regulatory filings
  • Liaising with internal departments (finance, tax, treasury) and external counsel
  • Responding to KYC and UBO requests and maintaining accurate legal entity data
  • Supporting the implementation and maintenance of an entity management system
  • Preparing materials for board and committee meetings and assisting with recordkeeping
  • Conducting legal research and preparing reports to support governance and compliance initiatives

What you'll need to succeed

To thrive in this role, you’ll bring:
  • A Paralegal diploma or certification, with 5+ years of experience in corporate governance or financial services
  • Strong understanding of Canadian corporate law and regulatory frameworks
  • Experience managing legal entities and governance records across jurisdictions
  • Proficiency in legal software and entity management platforms
  • Excellent organizational, communication, and analytical skills
  • A proactive, detail-oriented mindset and the ability to manage competing priorities
  • Experience working with cross-functional teams and external service providers
