Your new role
- Working alongside and reporting to the Chief Compliance Officer
- Managing corporate governance documentation for Canadian and international entities
- Supporting the maintenance of minute books, board resolutions, and shareholder records
- Coordinating filings for entity formation, amendments, dissolutions, and name changes
- Assisting with director and officer changes, powers of attorney, and regulatory filings
- Liaising with internal departments (finance, tax, treasury) and external counsel
- Responding to KYC and UBO requests and maintaining accurate legal entity data
- Supporting the implementation and maintenance of an entity management system
- Preparing materials for board and committee meetings and assisting with recordkeeping
- Conducting legal research and preparing reports to support governance and compliance initiatives
What you'll need to succeed
- A Paralegal diploma or certification, with 5+ years of experience in corporate governance or financial services
- Strong understanding of Canadian corporate law and regulatory frameworks
- Experience managing legal entities and governance records across jurisdictions
- Proficiency in legal software and entity management platforms
- Excellent organizational, communication, and analytical skills
- A proactive, detail-oriented mindset and the ability to manage competing priorities
- Experience working with cross-functional teams and external service providers
