Your new role
As a Corporate Law Clerk, you will play a key role in supporting a large team of corporate lawyers on transactional matters. This position is heavily focused on corporate transactions, with minimal exposure to tax-related work.
You will be responsible for:
- Managing corporate transactional matters including incorporations, amalgamations, mergers, reorganizations, and continuances
- Handling docketing and maintaining accurate corporate records and minute books
- Preparing and reviewing corporate documentation and resolutions
- Supporting transactions from start to finish, ensuring timelines and deliverables are met
- Working closely with a team of 30 lawyers and 12 clerks (including 2 team leads)
- Reporting into the Corporate Law Clerk Managers in a highly collaborative team setting
What you'll need to succeed
- Minimum 5+ years of experience as a Corporate Law Clerk, ideally within a law firm environment
- Strong exposure to sophisticated transactional corporate work (including mergers and amalgamations)
- Proven experience with docketing and corporate records management
- Background in private practice is strongly preferred; candidates coming directly from in-house environments are less aligned with the needs of this team
- Ability to thrive in a fast-paced, high-volume environment while maintaining exceptional attention to detail
- An adaptable and growth-oriented mindset, ideal for someone in the intermediate to senior (5–10 year) range
