A mid-size Downtown Toronto law firm is looking for a seasoned Corporate Law Clerk.

A well-established law firm located in Toronto’s financial district is seeking a Corporate Law Clerk to join its Corporate Services team. Your new role

As a Corporate Law Clerk, you will play a key role in supporting corporate transactions, secured financings, and tax-driven reorganizations. Your responsibilities will include preparing and organizing corporate documents, conducting minute book reviews, arranging corporate filings, and drafting share capital structures. You will also manage minute books and corporate databases, liaise with lawyers and accountants, and ensure compliance with relevant legislation. This position offers variety and autonomy, with opportunities to work on challenging matters from day one.


What you'll need to succeed

To excel in this role, you should bring:
  • A Law Clerk diploma and at least 7 years of corporate law and transactional law experience
  • Strong knowledge of corporate procedures and filings under Ontario and federal legislation
  • Proficiency in Microsoft Office and experience with document management systems (e.g., iManage)
  • Familiarity with MinuteBox and corporate database management
  • Excellent organizational skills, attention to detail, and ability to manage multiple priorities under tight deadlines
  • Strong communication skills and a client-focused approach
  • Initiative, sound judgment, and a solutions-driven mindset
