Your new role

As a Senior Corporate/Commercial Law Clerk, you will be a key right‑hand to a Partner whose practice focuses primarily on complex transactional work. You will manage files from initial instruction through to closing and reporting, taking ownership of deadlines, deliverables, and quality with minimal oversight.


This is a role for a highly technical clerk who thrives in a fast‑paced corporate environment and enjoys the transactional side of the work (M&A, reorganizations, minute book audits, share/asset deals, and more). You’ll be relied upon to think ahead, solve problems before they arise, and ensure the practice runs smoothly and efficiently.
Your responsibilities will include:
  • Preparing closing documents and coordinating all aspects of M&A transactions (share and/or asset)
  • Drafting documents for complex transactions, including s.85 and s.86 reorganizations, amalgamations, and related corporate work
  • Conducting high‑level minute book reviews, identifying gaps, and recommending rectifications
  • Managing files end‑to‑end—from the deal sheet to the final closing binder
  • Handling corporate searches, PPSA due diligence, and identifying red flags independently
  • Liaising with clients, opposing counsel, regulators, and service providers
  • Staying current on corporate law changes and proactively updating templates and internal workflows
  • Using electronic filing systems (Cyberbahn, ESC, OnCorp) with confidence

Technical Skills & Experience
  • 5+ years in a busy corporate/commercial practice
  • Deep experience managing the clerk’s side of M&A transactions
  • Strong drafting skills for complex transactions and reorganizations
  • Ability to independently audit and rectify messy minute books
  • Familiarity with OBCA, CBCA, Business Names Act, and basic securities concepts
  • Proficiency in Cyberbahn, ESC, OnCorp, and similar systems
  • A Law Clerk Diploma or ILCO certification (preferred)
